By accessing or using the Website or Services, you agree to be bound by these Terms. If you do not agree, you may not use the Website or Services.

These Terms form a binding agreement between you ("you," "your," or "User") and Vanguard AI LLC. We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Website and updating the "Last updated" date above. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

Eligibility

You must be at least 18 years old to use the Services. The Services are intended for business use only and are not available for personal, non-commercial purposes. By using the Services, you represent and warrant that you meet these requirements and have the authority to bind your business entity to these Terms. We do not offer Services to users in jurisdictions where they are prohibited by law. If you are accessing the Services on behalf of a business, you represent that you are authorized to do so.

You agree to provide accurate, current, and complete information during registration and to update such information as needed. We provide AI-powered receptionists and chatbots designed to automate customer interactions, handle inquiries, and improve business efficiency. On rare occasions, we may offer complementary marketing services to our clients, such as campaign setup or optimization. The Services may include access to AI models, software tools, and integrations with third-party platforms. We may update, modify, or discontinue features of the Services at any time without notice, provided such changes do not materially reduce the functionality you have paid for.

Payment Terms

Our Services are offered through subscriptions, one-time fees, or trial periods. Billing occurs bi-weekly or monthly, depending on your selected plan. All payments are processed securely through third-party providers (e.g., Stripe). You authorize us to charge your provided payment method for all applicable fees, including taxes and any additional charges.

- Subscriptions: Recurring fees are charged in advance on a bi-weekly or monthly basis. Subscriptions automatically renew unless canceled.

- One-Time Fees: Charged for specific services or setups, non-recurring.

- Trial Periods: We may offer free or discounted trials. At the end of a trial, your subscription will automatically begin and be charged unless canceled beforehand.

- Refunds: All payments are non-refundable, except as required by law. We do not offer refunds for partial periods or unused Services.

- Price Changes: We may adjust pricing with notice. Continued use after a price change constitutes acceptance.

- Taxes: You are responsible for all applicable taxes.

If payment fails, we may suspend your access until resolved. Overdue accounts may incur late fees.

User Responsibilities

You agree to use the Services responsibly and in compliance with all applicable laws. Specifically:

- Use the Services only for lawful purposes.

- Do not misuse the AI for generating harmful content, including hate speech, fraud, or unlawful activities.

- Do not use the Services to provide medical, legal, or professional advice.

- Respect third-party intellectual property rights; do not infringe copyrights, trademarks, or other IP through your use of the Services.

- Do not attempt to reverse-engineer, hack, or interfere with the Services.

- Do not overload the Services or exceed any fair use or API limits we may impose (e.g., rate limits on API calls to prevent abuse).

- Maintain accurate data in your account and ensure any user content you provide is not misleading or harmful.

You are solely responsible for your interactions with end-users (e.g., your customers) via the AI receptionists or chatbots. We are not liable for any content you generate or actions taken based on AI outputs.

Prohibited Actions: You may not use the Services to:

- Engage in illegal activities.

- Generate or promote hate speech, violence, discrimination, or harassment.

- Commit fraud, deception, or scams.

- Infringe on others' rights, including privacy or IP.

- Distribute malware or engage in unauthorized access.

- Violate any export controls or sanctions.

We may monitor usage to enforce these rules.

Company Rights

We reserve the right to:

- Suspend or restrict your access to the Services if we believe you have violated these Terms, for non-payment, or to protect our systems.

- Terminate your account or these Terms at any time, with or without cause, upon notice.

- Make changes to the Services, including updates, enhancements, or discontinuations, without liability.

Intellectual Property Ownership

- Our Content: We own all rights to the Services, including software, AI models, branding, algorithms, and any content we provide (e.g., templates or outputs generated solely by our AI without your input). You are granted a limited, non-exclusive, non-transferable license to use the Services for your business purposes during your subscription term.

- Your Content: You retain ownership of any data, content, or materials you provide to the Services (e.g., user inputs, custom prompts, or client data).

- AI Outputs: Ownership of AI-generated outputs (e.g., chatbot responses or receptionist scripts) is shared: you own the specific outputs created for your use, but we retain rights to the underlying AI models and any anonymized data used for training improvements. You grant us a perpetual, royalty-free license to use your inputs and outputs in anonymized form to improve our AI models.

Do not remove any proprietary notices from our content.

Termination

You may cancel your account and terminate these Terms at any time by contacting us at [email protected] or through your account settings. We may terminate these Terms or your access at any time, with or without cause, upon notice. Upon termination:

- Your right to use the Services ends immediately.

- Any outstanding payments become due.

- We may delete your data after 30 days, unless required to retain it by law.

- Sections that survive termination (e.g., IP ownership, disclaimers, liability limits) remain in effect.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AI-Specific Disclaimers: AI outputs may contain errors, inaccuracies, or biases. We disclaim all responsibility for AI-generated content, including its accuracy, completeness, or suitability. You are responsible for reviewing and verifying all AI outputs before use. We are not liable for any decisions, actions, or harms arising from reliance on AI outputs.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWO MONTHS PRECEDING THE CLAIM.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in Wyoming, administered by a mutually agreed arbitrator. You waive any right to participate in class actions. If arbitration is not enforceable, disputes shall be resolved in the courts of Wyoming.

Miscellaneous

- Force Majeure: We are not liable for delays caused by events beyond our control (e.g., natural disasters, pandemics).

- Severability: If any provision is invalid, the rest remain in effect.

- No Waiver: Failure to enforce a right does not waive it.

- Assignment: We may assign these Terms; you may not without our consent.

- Entire Agreement: These Terms, along with our Privacy Policy, constitute the full agreement.
